SPECIFIC TERMS AND CONDITIONS FOR SINGTEL CORPORATE SWITCHED TELECOMMUNICATIONS NETWORK (CSTN) SERVICE
1. Definition and Interpretation
1.1 In these Specific Terms and Conditions, the following words and expressions shall have the following meanings:
“General Terms” means Singapore Telecommunications Limited’s General Terms and Conditions of Service.
“Initial Contract Term” shall have the meaning ascribed in clause 2.2.
“Privileges” shall mean all discounts or rebates or waivers given by SingTel to the Customer in respect of the Services as prescribed by SingTel from time to time.
“Service” shall mean the SingTel CSTN service, which enables intra-corporate communications worldwide using Customer’s private numbering plan exclusive to a corporate customer of such service with optional facilities that enable access to third parties.
“Term” shall mean the Initial Contract Term and any renewal period.
1.2 The words and expressions used in these Specific Terms and Conditions, which are defined in the General Terms but are not defined in these Specific Terms and Conditions shall have the same meanings as defined in the General Terms unless the context otherwise requires.
1.3 The headings or titles to the Clauses in these Specific Terms and Conditions are to facilitate reference and shall not be referred to or relied upon in the construction of any provision of these Specific Terms and Conditions.
2. Commencement and Duration
2.1 The Service shall commence on the Date of Service Required, as stated in the Application-cum-Agreement (ACA) form, or, in the event that SingTel is unable to provide the Service on the Date of Service Required, the date specified by SingTel in writing, as the case may be [hereinafter referred to as “Commencement Date of Service”].
2.2 The Initial Contract Term shall be whichever of the following minimum subscription terms is selected by the Customer in the ACA form:
a) One (1) calendar month (on expiry of which this Agreement shall automatically renew on a month-to-month basis unless this Agreement is terminated in accordance with its terms); or
b) One (1) calendar year (on expiry of which this Agreement shall automatically renew for successive periods of one (1) calendar year unless:
i. this Agreement is terminated in accordance with its terms; or
ii. the Customer notifies SingTel not less than one (1) calendar month prior to the expiry of the Initial Contract Term (or any anniversary thereof) that the Customer does not wish to renew the Agreement.
3. Termination
3.1 The Customer shall not be entitled to terminate the Service until after the expiry of the Initial Contract Term.
3.2 After the Initial Contract Term, either party may terminate this Agreement by giving the other party at least 30 days’ prior written notice.
3.3 Notwithstanding anything to the contrary herein contained SingTel may at any time terminate this Agreement summarily without being liable in damages or otherwise to the Customer or any other person or persons whomsoever if the Service is used in any manner not agreed to by SingTel in writing. The termination of this Agreement pursuant to this clause shall be without prejudice to SingTel’s right to claim any damages, which SingTel may have under this Agreement, at law or in equity.
4. Customer’s Liability on Termination
4.1In the event of termination of the Agreement, the Customer shall be liable to SingTel for:
a. where the termination date is the same as the expiry date of the Initial Contract Term:
i. the Fees and Charges (including rental) incurred in respect of the Service up to and including the date of termination.
b. where the termination date is before the expiry date of the Initial Contract Term:
i. the Fees and Charges (including rental) incurred in respect of the Service up to and including the date of termination; and
ii. rental for the period between the date of termination and the expiry date of the Initial Contract Term; and
iii. forfeit all Privileges available under this Agreement, and reimburse SingTel for the full amount of all Privileges already provided in the Initial Contract Term.
c. where the termination date is after the expiry date of the Initial Contract Term:
i. the Fees and Charges (including rental) incurred in respect of the Service up to and including the date of termination, and
ii. rental for the period between the date of termination and the expiry of the renewed term; and
iii. forfeit all privileges available under this Agreement, and reimburse SingTel for the full amount of all Privileges already provided in the Initial Contract Term.
5. Customer’s Responsibility
Unless SingTel otherwise states in writing, the Customer shall only connect the Service to its subsidiaries and no other party. The Customer shall inform SingTel in writing of the change of status, if any, of the subsidiaries, as the case may be, failing which the Customer shall indemnify SingTel against all losses, damages, costs and expenses whatsoever suffered by SingTel by reason of any such change not notified to SingTel as aforesaid.
6. Consent to Use and Disclose Information and Data
The Customer agrees that SingTel shall be entitled to use or disclose any information or data disclosed by the Customer in accordance with Clause 15 of the General Terms and Conditions in the current edition of the Singapore Phone Book and in the SingTel website at www.singtel.com. The Customer is entitled to withdraw such consent in the procedure as prescribed by SingTel from time to time.
7. General
The Customer shall be bound by and shall fully observe and comply with all General Terms as well as such other terms and conditions as may be agreed or accepted by the Customer. The rights and protections conferred on SingTel under these Terms and Conditions shall be additional to the rights and protection conferred on SingTel under the General Terms and Conditions and any other terms and conditions agreed or accepted by the Customer.
